Terms of Service

The terms governing access to and use of Tacet's services.

These Terms of Service (“Terms”) constitute a binding agreement between you (“Client,” “you,” or “your”) and Tacet, Inc. (“Tacet,” “we,” “our,” or “us”).

By accessing our website, authorizing data integrations, or engaging in a pilot or subscription service, you agree to be bound by these Terms.

1. The Service

Tacet provides an economic intelligence platform that analyzes transactional and related business data to calculate Customer Equity and related analytics (the “Service”).

Customer Equity represents a predictive estimate of margin-adjusted future customer value.

Tacet may provide the Service through:

  • Pilot engagements
  • Diagnostic analyses
  • Subscription access
  • Platform-based access

Specific service terms may be defined in a separate services agreement, pilot agreement, or order form.

2. License and Access

2.1 Limited License

Subject to these Terms and any applicable service agreement, Tacet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

This license does not grant you ownership of the software or underlying technology.

2.2 Account and Data Access

To provide the Service, you may authorize Tacet to access certain business systems (such as ecommerce platforms or related data sources).

You represent and warrant that:

  • You have the legal right to provide such access
  • You have obtained any required permissions
  • The data provided does not violate applicable laws

Unless expressly agreed in writing, Tacet’s access is read-only for analytical purposes.

3. Client Data

3.1 Ownership

You retain all ownership rights in your data, including transactional records, customer lists, and related business information (“Client Data”).

3.2 License to Tacet

You grant Tacet a limited, non-exclusive license to process Client Data solely to:

  • Provide the Service
  • Deliver analytics and reporting outputs
  • Improve service performance using anonymized, aggregated data

Tacet does not sell Client Data.

Tacet does not contact your customers.

Tacet does not use identifiable Client Data for advertising or marketing.

4. Intellectual Property

4.1 Tacet Technology

Tacet retains all rights, title, and interest in:

  • The Service
  • All software and source code
  • Algorithms and predictive models
  • Analytical methodologies
  • User interface designs
  • Documentation and related materials

These Terms grant you a right to use the Service, not ownership of Tacet technology.

You may not:

  • Reverse engineer the Service
  • Attempt to derive source code
  • Replicate Tacet’s models or methodologies
  • Resell or sublicense the Service

4.2 Output

Analytics outputs generated for you may be used internally for business decision-making.

You may not redistribute or commercially resell Tacet outputs without written permission.

5. Confidentiality

Each party agrees to treat non-public information disclosed by the other party as confidential.

Tacet will treat Client Data, revenue information, margin data, and related business information as confidential and will not disclose such information except:

  • As required by law
  • To provide the Service
  • To authorized personnel bound by confidentiality obligations

Confidentiality obligations survive termination of the relationship.

6. Data Security

Tacet implements commercially reasonable technical and organizational safeguards designed to protect Client Data from unauthorized access, disclosure, or misuse.

Additional details regarding data protection are available in our Privacy Policy and Data Processing Agreement where applicable.

7. Disclaimers

7.1 Predictive Nature of the Service

The Service provides predictive estimates and analytical models based on available data.

Customer Equity calculations and related outputs are estimates and do not constitute:

  • Accounting advice
  • Financial advice
  • Legal advice
  • Investment advice

You are solely responsible for business decisions made using the Service.

7.2 No Warranty

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Tacet does not guarantee specific business outcomes.

8. Limitation of Liability

To the maximum extent permitted by law:

Tacet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

Tacet’s total liability for any claim arising out of or relating to the Service shall not exceed the total fees paid by you to Tacet in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Tacet from any claims, damages, or liabilities arising from:

  • Your misuse of the Service
  • Your violation of these Terms
  • Your unlawful provision of Client Data

10. Termination

Unless otherwise specified in a separate agreement:

  • You may terminate access in accordance with your subscription terms
  • Tacet may suspend or terminate access if you materially breach these Terms

Upon termination:

  • Your access to the Service will cease
  • Data handling will be governed by the applicable service agreement and Privacy Policy

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Delaware.

12. Changes to These Terms

Tacet may update these Terms from time to time. Updated versions will be posted on this page with a revised “Last Updated” date.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
